1. Introduction and Acceptance

This document constitutes a computer-generated electronic record published in accordance with Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended, read with the Information Technology Act, 2000, as amended, and does not require any physical or digital signatures.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LIWI Learning Technologies Pvt. Ltd., a company incorporated under the laws of India ("LIWI," "Company," "we," "us," or "our").

By accessing, downloading, installing, or using the LIWI application, website, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Important: If you do not agree to these Terms or do not wish to be bound by them, you must immediately terminate your use of the Service.

2. Eligibility and Account Registration

2.1 Age Requirements

• You must be at least 13 years of age to use our Service
• Users between 13-18 years require verifiable parental or guardian consent
• We comply with the Digital Personal Data Protection Act, 2023 (DPDP Act) for children's data protection

2.2 Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You agree to notify us immediately of any unauthorized use of your account
• One person may not maintain multiple accounts without our express permission

2.3 Account Security

• You are responsible for all activities that occur under your account
• LIWI shall not be liable for any loss or damage arising from your failure to maintain account security
• You must immediately notify us of any suspected security breach

3. Service Description

3.1 LIWI Service Features

LIWI provides:

• AI-powered English conversation practice
• Real-time pronunciation and grammar feedback
• Personalized learning plans and progress tracking
• Interactive voice-based learning exercises
• Speech recognition and analysis
• Fluency assessment and improvement recommendations

3.2 Service Availability

• We strive to provide 24/7 service availability
• Planned maintenance will be communicated in advance when possible
• We do not guarantee uninterrupted service
• Service may be temporarily unavailable due to technical issues, force majeure events, or maintenance

3.3 Service Limitations

• LIWI is an educational tool and does not guarantee English proficiency outcomes
• AI feedback may not always be 100% accurate
• Results may vary based on individual effort, aptitude, and engagement
• The Service is provided "as is" without warranties of specific educational outcomes

4. Subscription and Payment Terms

4.1 Subscription Plans

LIWI offers various subscription plans:

• Free Plan: Limited features and usage quotas
• Premium Plans: Enhanced features, unlimited practice sessions, advanced analytics, and priority support

4.2 Payment Processing Integration

• Payment Processor: All payments are processed through Razorpay Software Private Limited
• Dual Terms: By making any payment, you agree to both these LIWI Terms and Razorpay's Terms of Service
• Payment Data: Payment processing is governed by Razorpay's Privacy Policy
• Security: We do not store complete payment card information on our servers

4.3 Pricing and Billing

• All prices are displayed in Indian Rupees (INR) unless otherwise specified
• Subscription fees are charged on a recurring basis (monthly/annually as selected)
• Prices are inclusive of applicable taxes unless otherwise stated
• We reserve the right to change pricing with 30 days' advance notice

4.4 Free Trials

• New users may be eligible for free trial periods of premium features
• Free trials automatically convert to paid subscriptions unless cancelled before trial expiry
• Trial terms and duration will be clearly disclosed at sign-up
• Only one free trial per user is permitted
• Cancellation during trial period prevents charges

4.5 Payment Failures and Suspension

• Payment failures may result in immediate service suspension
• You will be notified of payment issues via registered email
• Service will be restored upon successful payment processing
• Continued payment failures may result in account termination

4.6 Refund Policy

• Technical Issues: Refunds may be provided at our discretion for verified technical problems preventing service use
• No Partial Refunds: No refunds for partial subscription periods or unused portions
• Refund Timeframe: Refund requests must be submitted within 7 days of the charge
• Free Trials: Cancellations during free trial periods do not require refunds
• Processing: Approved refunds will be processed through the original payment method via Razorpay

5. User Conduct and Prohibited Activities

5.1 Acceptable Use

You agree to use LIWI only for legitimate English learning purposes and in compliance with all applicable laws, regulations, and these Terms.

5.2 Prohibited Activities

You shall not:

• Share account credentials with others or allow unauthorized access
• Attempt to circumvent usage limitations, security measures, or access controls
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems, bots, or scripts to access the service
• Upload or transmit harmful, inappropriate, offensive, or illegal content
• Violate intellectual property rights of LIWI or third parties
• Use the service for any commercial purpose without written permission
• Attempt to interfere with or disrupt the service or servers
• Create multiple accounts to circumvent limitations
• Engage in any activity that could harm LIWI's reputation or business

5.3 Content Guidelines

• Voice recordings and text inputs must be appropriate and legal
• No hate speech, discriminatory language, or offensive content
• No sharing of personal information of others without consent
• Content must comply with Indian laws and regulations

6. Privacy and Data Protection

We collect and process personal data in accordance with our Privacy Policy and comply with the Digital Personal Data Protection Act, 2023 (DPDP Act). This section supplements our detailed Privacy Policy.

6.1 Data Collection and Processing

• Voice Data: Voice recordings are processed for learning analytics and feedback
• Personal Data: Used only for service provision, improvement, and communication
• Security: Data is stored securely with industry-standard encryption
• Third-Party Sharing: Limited to service providers bound by confidentiality agreements

6.2 Your Rights

Under the DPDP Act, you have rights to:

• Access your personal data
• Request corrections to inaccurate data
• Request deletion of your data
• Data portability for your learning progress
• Withdraw consent where processing is based on consent

6.3 Payment Data

• Payment processing data is handled by Razorpay under their Privacy Policy
• We receive transaction confirmations but not complete payment card details
• Payment disputes should be directed to info@myliwi.com initially

7. Intellectual Property Rights

7.1 LIWI Intellectual Property

• All content, software, algorithms, and technology are owned by LIWI
• You receive a limited, non-exclusive, non-transferable license to use the service
• No right to reproduce, distribute, or create derivative works
• All trademarks, logos, and brand names are protected intellectual property

7.2 User-Generated Content

• You retain ownership of your voice recordings and text inputs
• You grant LIWI a limited license to process your content for service provision
• LIWI may use anonymized and aggregated data for service improvement and research
• You warrant that your content does not infringe third-party rights

7.3 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide to LIWI become our property and may be used without compensation or attribution.

8. Service Modifications and Termination

8.1 Service Changes

• LIWI may modify features, functionality, or interface at any time
• Significant changes affecting user experience will be communicated via email or in-app notification
• Pricing changes require 30 days advance notice to existing subscribers
• New features may be added to existing plans or offered as separate services

8.2 Account Termination by User

• You may terminate your account at any time through app settings or by contacting support
• Termination cancels future billing but does not provide refunds for current subscription periods
• Account data will be retained according to our data retention policy
• You may request data deletion subject to legal retention requirements

8.3 Account Suspension/Termination by LIWI

We may suspend or terminate accounts for:

• Violation of these Terms of Service
• Fraudulent activity or payment disputes
• Extended periods of inactivity (with prior notice)
• Legal compliance requirements
• Abuse of service or harmful behavior

8.4 Effect of Termination

• Immediate loss of access to premium features
• Data retention according to our Privacy Policy
• No refund of prepaid subscription fees
• Survival of provisions related to intellectual property, liability limitations, and dispute resolution

9. Disclaimers and Limitations of Liability

9.1 Service Disclaimers

• Educational Tool: LIWI is an educational aid and does not guarantee English proficiency or specific learning outcomes
• AI Accuracy: AI-powered feedback and assessments may contain errors and should not be considered infallible
• Individual Results: Learning outcomes vary based on individual effort, aptitude, practice consistency, and other factors
• "As Is" Service: The Service is provided "as is" and "as available" without warranties of any kind

9.2 Disclaimer of Warranties

To the fullest extent permitted by law, LIWI disclaims all warranties, express or implied, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties of uninterrupted or error-free service
• Warranties regarding the accuracy or reliability of AI feedback
• Warranties that the service will meet your specific requirements

9.3 Limitation of Liability

To the maximum extent permitted by law:

• LIWI's total liability is limited to the amount you paid for the service in the 12 months preceding the claim
• No liability for indirect, incidental, consequential, or punitive damages
• No liability for loss of data, profits, or business opportunities
• Users acknowledge responsibility for their own learning outcomes and progress

9.4 Force Majeure

LIWI shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, or technical failures of third-party services.

10. Indemnification

You agree to indemnify, defend, and hold harmless LIWI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit through the Service

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The courts of Kerala, India shall have exclusive jurisdiction over any disputes.

11.2 Dispute Resolution Process

• Direct Communication: First attempt to resolve disputes by contacting info@myliwi.com
• Mediation: If direct resolution fails, disputes may be referred to mediation
• Arbitration: Unresolved disputes will be settled by binding arbitration in Kerala, India
• Language: All proceedings will be conducted in English
• Class Actions: You waive the right to participate in class action lawsuits

11.3 Limitation Period

Any claims must be brought within one year of the cause of action arising.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LIWI regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.3 Waiver

No waiver of any provision by LIWI will be deemed a further or continuing waiver of such provision or any other provision.

12.4 Assignment

You may not assign your rights under these Terms. LIWI may assign these Terms without restriction.

12.5 Updates to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

Payment Processing Through Razorpay

When you make payments for LIWI subscriptions or services, your payment is processed by Razorpay Software Private Limited ("Razorpay"), our authorized payment gateway partner.

Important Legal Notice:

By proceeding with any payment transaction, you acknowledge and agree that:

• Dual Agreement: You are entering into agreements with both LIWI and Razorpay
• Razorpay Terms: You must comply with Razorpay's Terms and Conditions available at razorpay.com/terms
• Payment Privacy: Your payment data is processed according to Razorpay's Privacy Policy at razorpay.com/privacy
• Direct Relationship: For payment-specific issues, you may need to interact directly with Razorpay
• Acceptance Record: Your payment constitutes acceptance of both sets of terms

Payment-Related Responsibilities:

• LIWI Responsibilities: Service delivery, subscription management, billing inquiries
• Razorpay Responsibilities: Payment processing, transaction security, payment gateway services
• Your Responsibilities: Accurate payment information, compliance with both terms, timely payment

Integration Details:

• Razorpay processes payments on behalf of LIWI
• We receive transaction confirmations but not your complete payment card details
• Payment disputes will be handled collaboratively between LIWI and Razorpay
• Refunds, where applicable, are processed through Razorpay back to your original payment method
